1. Acceptance of Terms
These Service Terms (the "Terms") govern your use of the Apple Pass and mobile wallet credential services (the "Pass Services") provided by Truepunch Inc. ("Truepunch", "we", "us", or "our") through www.truepunch.us and our compatible reader products. By requesting, adding, or using a digital pass issued through the Pass Services, you agree to be bound by these Terms. If you are using the Pass Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the Pass Services
The Pass Services allow eligible users to receive and use digital access credentials (each, a "Pass") in Apple Wallet on supported Apple devices, such as iPhone and Apple Watch. A Pass functions as a contactless credential that can be presented to compatible Truepunch readers and access control systems for identification, time & attendance, and physical access purposes. Depending on your organization's configuration, Passes may support features such as automatic device syncing and express-mode style contactless use.
Passes are typically issued through your organization (for example, your employer, property manager, or facility operator), which acts as the credential administrator and determines your eligibility, access rights, and the validity period of your Pass.
3. Eligibility and Device Requirements
- You must have a supported Apple device running a compatible version of iOS or watchOS, with Apple Wallet enabled and signed in to a valid Apple Account.
- Availability of certain Wallet features may vary by device model, operating system version, and region, as determined by Apple.
- You are responsible for maintaining the security of your device, including passcode, Face ID, or Touch ID protections.
4. Pass Issuance and Installation
Passes are delivered through an installation link provided by your organization or by Truepunch on its behalf. The link may be delivered by email or text message. By tapping "Add to Apple Wallet" and completing installation, you consent to the provisioning of the credential to your device. If delivery occurs by text message, that messaging is governed by the SMS terms in our Privacy Policy; message and data rates may apply.
Installation links may be single-use and time-limited. You agree not to forward, share, or resell installation links or Passes, and not to attempt to install a Pass on a device you do not control.
5. Relationship to Apple
Apple is not a party to these Terms. Apple Inc. ("Apple") provides the Apple Wallet platform on which Passes are stored and presented. Your use of Apple Wallet, Apple devices, and related Apple services is governed by Apple's own terms and conditions and privacy policies, including the Apple Pay & Wallet Terms and Apple Media/Device terms applicable in your region. Truepunch is not responsible for the Apple Wallet platform, Apple devices, or any acts or omissions of Apple.
Apple®, Apple Wallet®, iPhone®, and Apple Watch® are trademarks of Apple Inc. Truepunch's use of these marks is solely to identify compatibility and does not imply endorsement or sponsorship by Apple.
6. Acceptable Use
You agree to use the Pass Services only for lawful purposes and in accordance with your organization's access policies. You must not:
- Use a Pass to gain or attempt to gain access to areas or systems you are not authorized to access;
- Copy, clone, emulate, reverse engineer, or otherwise attempt to extract, modify, or interfere with the cryptographic keys, credential data, or security mechanisms of any Pass or reader;
- Transfer or lend your Pass or device to another person for the purpose of impersonating you or circumventing access controls;
- Interfere with or disrupt the Pass Services, or any servers or networks connected to them;
- Use the Pass Services in violation of any applicable law or regulation.
7. Suspension, Revocation, and Lost Devices
Your organization and/or Truepunch may suspend, revoke, or invalidate any Pass at any time, with or without notice, including when your affiliation with the issuing organization ends, when a security concern arises, or when required to maintain the integrity of the Pass Services. A revoked Pass may remain visible in Apple Wallet but will no longer function at readers.
If your device is lost or stolen, you should promptly notify your credential administrator and use Apple's Find My service to lock or erase the device. You are responsible for any use of your Pass before you report the loss.
8. Privacy
Our collection and use of personal information in connection with the Pass Services — including your name, contact details, mobile phone number, and credential identifiers — is described in our Privacy Policy. Information displayed on or associated with a Pass may also be processed by Apple as described in Apple's Wallet & Privacy disclosures. Your organization, as credential administrator, may receive access event data (such as reader entry logs) under its own policies.
9. Fees
Unless otherwise agreed in a separate written agreement with your organization, Truepunch does not charge end users a fee for installing a Pass. Your mobile carrier's message and data rates may apply to credential delivery messages, and your use of Apple devices and services may be subject to Apple's fees and terms.
10. Disclaimers
THE PASS SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRUEPUNCH DOES NOT WARRANT THAT THE PASS SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ALL TIMES, OR THAT A PASS WILL FUNCTION ON EVERY DEVICE OR IN EVERY ENVIRONMENT. A DIGITAL PASS IS A CONVENIENCE CREDENTIAL AND SHOULD NOT BE YOUR SOLE MEANS OF ACCESS IN SAFETY-CRITICAL SITUATIONS; FOLLOW YOUR ORGANIZATION'S BACKUP ACCESS PROCEDURES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEPUNCH AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR ACCESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PASS SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TRUEPUNCH'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE PASS SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID TO TRUEPUNCH FOR THE PASS SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Changes to the Pass Services and These Terms
We may modify, suspend, or discontinue the Pass Services (in whole or in part) at any time. We may also update these Terms from time to time; changes are effective when posted on this page with an updated effective date. Your continued use of a Pass after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which Truepunch Inc. is organized, without regard to conflict-of-laws principles, except where the mandatory consumer protection laws of your place of residence apply.
